- Owner-dependent service, when the owner personally runs routes or holds the key customer relationships, buyers price in churn risk and push for earnouts.
- High churn or undocumented accounts, a high cancellation rate, handshake agreements, or missing customer data make the recurring base hard to underwrite and transfer.
- Seasonality with no offset, Northeast and Midwest routes with a compressed open season and no repair, retail, or renovation revenue to fill the off-season are valued more cautiously.
- Aging vehicle fleet and deferred equipment, worn service trucks and undocumented inventory and chemical handling surface in due diligence and weigh on the offer.
